Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LVAIA website at lvaia.com (the "Site") and the services LVAIA provides ("Services"). LVAIA is a studio of Fix IT Technologies ("LVAIA", "we", "us", "our"). By accessing the Site or engaging our Services you agree to these Terms.

1. Who we are

LVAIA is an artificial-intelligence services studio operating in Las Vegas, Nevada, and is a division of Fix IT Technologies. References to "Fix IT Technologies" in these Terms include its affiliates and the LVAIA brand.

2. Services

We design, build, deploy, host, and maintain AI-powered services for businesses, including but not limited to AI voice receptionists, chatbots, custom AI agents, workflow automation, AI-generated video and marketing content, and websites that integrate the foregoing. The specific scope, deliverables, pricing, and timing of any engagement are defined in a separate written proposal, statement of work, or order form ("Order"). In the event of a conflict between an Order and these Terms, the Order controls for that engagement.

3. Eligibility & account use

You must be at least 18 years old and authorized to bind the entity you represent. You are responsible for keeping any credentials we issue you secure, and for all activity that occurs through your account.

4. Fees, billing, and refunds

Recurring subscription fees are billed monthly in advance unless an Order states otherwise.
One-time setup fees are due before work begins.
Subscriptions auto-renew until cancelled. You may cancel at any time effective at the end of the then-current billing period.
Except where required by law or expressly stated in an Order, fees already paid are non-refundable.
We may revise pricing on 30 days' written notice to you.

5. Your content and data

You retain ownership of all content, data, materials, and customer information you provide to us ("Customer Data"). You grant LVAIA a non-exclusive license to host, copy, transmit, display, and process Customer Data solely to provide and improve the Services. You represent that you have all rights necessary to provide Customer Data to us and to authorize the processing described in these Terms.

6. AI-generated output

The Services use AI models that may produce inaccurate, incomplete, or unexpected output. You are responsible for reviewing AI-generated output before relying on it, publishing it, or using it to make decisions that affect real people, money, or safety. We do not warrant that any output is accurate, complete, lawful, non-infringing, or fit for a particular purpose. Where you use Services to communicate with end users (e.g., AI voice or chat), you are responsible for complying with applicable laws, including disclosure obligations, recording-consent laws, and TCPA / messaging regulations.

7. Intellectual property

The Site, the underlying platform, our prompts, workflows, code, templates, and documentation are owned by Fix IT Technologies or its licensors and are protected by intellectual-property laws. Subject to your continued payment and compliance, we grant you a non-exclusive, non-transferable license to use the Services during the term of your subscription. Configurations, prompts, fine-tunes, agent definitions, and knowledge bases we build specifically for you under an Order are licensed to you as described in that Order.

8. Acceptable use

You may not use the Services to: (a) violate any law or third-party right; (b) send spam or unlawful messaging; (c) generate or disseminate content that is defamatory, infringing, discriminatory, sexually explicit involving minors, or designed to deceive in a manner likely to cause harm; (d) attempt to reverse engineer, probe, scan, or test the vulnerability of our systems without our written permission; (e) interfere with or disrupt the Services; or (f) impersonate any person or entity.

9. Third-party services

The Services may integrate with or rely on third-party platforms (e.g., telephony, cloud hosting, payment processors, model providers). Your use of those platforms is subject to their own terms. We are not responsible for third-party services, outages, or changes in their pricing or availability.

10. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own (and at minimum, reasonable care), and use it only to perform under these Terms.

11. Warranties & disclaimers

We will perform the Services in a workmanlike manner. EXCEPT AS EXPRESSLY STATED, THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LVAIA AND FIX IT TECHNOLOGIES DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO LVAIA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You will defend, indemnify, and hold LVAIA, Fix IT Technologies, and their officers, employees, and contractors harmless from any third-party claim arising out of (a) your Customer Data, (b) your use of the Services in violation of these Terms or applicable law, or (c) your use of AI-generated output.

14. Term and termination

These Terms remain in effect while you use the Services. We may suspend or terminate the Services for material breach (including non-payment) on written notice. Upon termination, your right to use the Services ends and we will, on request, return or delete Customer Data on a commercially reasonable schedule.

15. Governing law & disputes

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada for any dispute that is not subject to arbitration.

16. Changes

We may update these Terms from time to time. Material changes will be posted on this page with a revised effective date and, where appropriate, communicated to you by email.
